For your attention: The following are the general terms and conditions (the "Terms and Conditions for Partners") under which an Agreement has been entered into between SeqOps AB, hereinafter referred to as "SeqOps", and the contracting legal entity, hereinafter referred to as the "Partner", regarding the Partner's use of the SeqOps's Domain (as defined below) and the services that the SeqOps provide to the Partner in relation to the Domain (the "Services"). You agree that you have understood and will comply with these Terms and Conditions and that if you disagree with any of the Terms and Conditions herein, you shall immediately cease to use our website, software and service. Using this website indicates that you have both read and accept these terms.
If you are agreeing to the terms of this Agreement on behalf of a company or other organization, you hereby represent and warrant that you are authorized to agree to the terms of this agreement on behalf of such company or other organization.
A data processing agreement (DPA) is also required to be entered into by you which sets forth other terms of our agreement that apply solely to the extent any information you provide includes personal data.
1. The Agreement, the Parties and the Service
1.1 The agreement between the Partner and Company for the Service consists of:
1.1.1 where relevant the Master Service Agreement, if any, entered into between the parties on this date including its appendices;
1.1.2 the terms and conditions of the registration process that the Partner must complete to access the Service; and
1.1.3 these Terms and Conditions and any DPA entered into between the parties, hereinafter jointly the "Agreement."
1.2 These Terms and Conditions shall be applicable not only to the Partner's use of SeqOps's Services but also to any person, employee, agent or other user acting for and on behalf of the Partner.
1.3 For the purpose of evaluating, improving and further developing the Service, SeqOps may ask the Partner to participate in voluntary surveys and interviews from time to time.
2. Introduction
SeqOps is a company centred on cyber-security, infrastructure security and security development for organisations in the EU and India. SeqOps operates as an advanced vulnerability and threat detection platform, specializing in server, infrastructure, and cloud security. SeqOps is dedicated to delivering IT security services and software solutions to both individual customers and businesses.
Our strategic focus lies in fostering continuous technological development, adopting and implementing forward-thinking defence methodologies, and crafting specialized solutions that align with the dynamic nature of the technological sphere. Adherence to pertinent cyber-security frameworks and standards is a cornerstone of our operations, as we recognize the critical role of human elements in the cyber-security domain.
Our primary objective is to work in partnership with You and our clients, striving together to bolster the overall security and integrity of the digital landscape.
3. Definitions
In these Terms and Conditions, the following capitalised terms shall have the following meanings, except where the context otherwise requires:
Agreement shall have the meaning set forth in Clause 1.1 above and the provisions contained in the Master Service Agreement, if applicable;
Charges means the price payable by the Partner to SeqOps as described on the Website or the Master Service Agreement, if applicable;
Code of Conduct means SeqOps's policy regarding use of its platform, services, software and environment that shall be binding on the Partner;
Force Majeure Event means an event, or a series of related events, that is outside the reasonable control of the party affected (including failures of the internet or any public telecommunications network, hacker attacks, denial of service attacks, virus or other malicious software attacks or infections, power failures, industrial disputes affecting any third party, changes to the law, disasters, epidemics, pandemics, explosions, fires, floods, riots, terrorist attacks and wars);
Information means the details provided and entered by the Partner at the time of account creation/registration on SeqOps's Website which may include personal information as defined under the General Data Protection Regulation (EU) 2016/679 and under the Digital Personal Data Protection, 2023 (Act No. 22 of 2023);
Master Service Agreement means the Agreement which may have been entered into between You and SeqOps for the provision of services by SeqOps;
Partner shall have the meaning set forth in the Preamble above;
Partner Users means the physical person/persons who access and use the Services and the Security Forum with credentials provided by the Partner to whom the Partner intends to provide services;
Registration Process means the act of creating a user account on the website of SeqOps either directly or through an invitation sent to the Partner User by the Partner email;
Security Forum means the digital marketplace which is owned, developed, and provided by SeqOps which is agreed to be used by the Partner in accordance with the terms set forth herein, in the Master Service Agreement, if applicable, and DPA in order to provide its own services to the Partner Users;
Services shall have the meaning set forth in the Preamble;
Website means this website which is owned, managed and administered by SeqOps through which the Services are provided to the Partner by SeqOps.
4. Basic Partner Requirements
4.1 In order to avail the Services, the Partner must meet the following requirements:
4.1.1 The Partner must have a computer device with stable internet connectivity;
4.1.2 The Partner must register for a membership on SeqOps's Website by following the instructions provided on the account creation/registration page;
4.1.3 The Partner must pay the requisite Charges to SeqOps; and
4.1.4 The Partner must accept these Terms and Conditions and any additional documentation described during the process of account creation/registration.
4.2 In order for the Partner to be allowed access to the Service and the Security Forum, the Partner must, as assessed by SeqOps in its sole discretion, have the ability to pay the Charges set out herein. SeqOps may, at any time, check the Partner's ability to pay by means of a credit report.
4.3 The Partner must not reveal their login credentials including passwords to any unauthorised person and shall maintain the same in a manner which does not make it accessible to any unauthorised persons. If the Partner suspects that any unauthorised person may have gained access to the login credentials, such Partner shall notify SeqOps immediately. Any activity carried on or purchases made by such unauthorised person shall bind the Partner unless information relating to unauthorised access to the login credentials has been notified to SeqOps.
4.4 The Partner is responsible for maintaining the confidentiality of its account Information and for all activities that occur under its account. SeqOps reserves the right to suspend or terminate the Partner's account if any unauthorised use is detected or if the use of the same is in contravention of these Terms and Conditions.
4.5 The Partner shall also be responsible for its own acts or for any acts and/or omissions of any of the Partner Users.
4.6 The Partner acknowledges that SeqOps may, e.g. for purposes of facilitating support requests, provision of Services or otherwise, access the Partner's account on the Security Forum and agrees that SeqOps may provide itself with such access should SeqOps find it reasonably necessary.
4.7 In order to use the Service, the Partner may be required to download a software or agent provided by SeqOps and install the same on your personal computer device. You do hereby consent to downloading and installing the same. You further agree that the information provided by you while installing and using the software or agent may be accessed, used and stored by SeqOps subject to the condition that such access, use and storage shall be in accordance with our Privacy Policy.
5. Charges, Fees and Payment Terms
5.1 The Partner hereby agrees to pay the Charges set out on the Website or in the Master Service Agreement agreed into between the Partner and SeqOps, if applicable. SeqOps reserves the right to change its pricing and fees and to institute new Charges at any time. Your use of the Services following such notification constitutes Your acceptance of any new or increased Charges and liability to pay the same.
5.2 The Partner agrees that its use of the Security Forum and Services is subject to payment of the Charges and any failure on its part to pay such Charges within the time prescribed on the Website may result in immediate termination of this Agreement and the Services.
5.3 The Partner shall pay the Charges to SeqOps in advance through the modes of payment made available by SeqOps.
5.4 Where the Partner makes any payment of Charges to SeqOps, the same shall be done through SeqOps's Website only by using any of the modes of payment provided on the payment page by SeqOps. SeqOps shall not be responsible for any payments that may be made by the Partner to any party which does not involve use of SeqOps's Website.
5.5 In case of any inconsistency or conflicts between the terms of this Agreement and the Master Service Agreement, the provisions of the Master Service Agreement shall prevail.
6. Partner's General Responsibilities
6.1 The Partner shall always observe the Code of Conduct.
6.2 The Services and the Security Forum may be used only for their intended purpose only — i.e., to create business relationships between the Partners, Partner Users regarding the Services to be provided by the Partner to the Partner Users as well as to create other relationships, communicate, provide services and share knowledge. The Services and Security Forum may not be used by the Partner for any other purpose.
6.3 The Partner undertakes to ensure that any communication that the Partner has with Partner Users, shall take place exclusively through the use of the functions provided for on the Security Forum. The foregoing entails that all agreements are to be entered into between the Partner and Partner Users exclusively through the use of the Service.
6.4 The Partner further represents and warrants that it shall fulfil all obligations that it is liable to assume according to any agreement with the Partner User that has been concluded through the use of the Services. It is noted that all Partner Users have agreed to a corresponding provision and that the foregoing applies only to the extent the Partner User fulfils its obligation towards the Partner under such agreement.
6.5 The Partner undertakes to ensure that no action taken by it in using the Service or accessing the Security Forum breaches applicable laws and regulations or infringes third party rights or violates any of the terms of this Agreement. The Partner shall indemnify SeqOps for any third party claims resulting from damage or loss caused by or in connection with any unlawful acts/infringements conducted by the Partner in relation to the Service or the Security Forum.
7. Partner's Obligations
7.1 The Partner undertakes to ensure that the Partner's site on the Security Forum is at all times updated with information regarding the Partner, its services and products. The Partner is responsible for ensuring that the information provided is factual, accurate and complete, does not violate laws and regulations, does not infringe any third party's rights, cannot be considered discriminatory in regard to sex, race, caste, religion, sexual orientation or the like and also otherwise, according to general values, can be considered acceptable. Political or religious messages are not allowed.
7.2 The Partner must, within a reasonable time, respond to any inquiries, expressions of interest, orders etc. from Partner Users. The foregoing does, however, not imply on the Partner any obligations to enter into any agreements albeit that the Partner shall make inquiries, orders etc. from Partner Users a top priority and further shall strive to accept orders subject to available capacity.
7.3 The Partner accepts and understands that any services and/or products that are offered by the Partner on the Security Forum must be available for purchase on the terms and conditions and at the price point set out by the Partner on the Security Forum.
7.4 For the avoidance of doubt, the Partner warrants and represents that it has all necessary rights to:
7.4.1 the brand names and other intellectual property rights it displays and/or markets on the Security Forum;
7.4.2 provide the information it provides on the Security Forum; and
7.4.3 offer and sell any products and/or services it markets on the Security Forum.
7.5 Thus, no communication, information, product and/or service provided by or offered by the Partner will infringe any third party's rights. The Partner shall indemnify SeqOps for any third party claims resulting from the Partner breaching the foregoing warranty in relation to the Service or the Security Forum.
7.6 The Partner further undertakes to:
7.6.1 allocate sufficient resources in order to teach relevant staff members about the Security Forum and how it operates;
7.6.2 only use and appoint consultants accredited by SeqOps for the purposes of evaluating the equipment used for accessing the Security Forum or educating the Partner about the Security Forum;
7.6.3 strive to be an active member of the community on the Security Forum by continuously developing brand, information and materials of the products offered on the Security Forum;
7.6.4 appoint a special contact person who will be responsible for the contacts with SeqOps and who will be available for monthly online meetings;
7.6.5 set aside time to actively participate in various workshops organized by SeqOps;
7.6.6 always apply market standard terms and conditions when selling products and services and provide no less favourable terms for products and services offered on the Security Forum than the Partner does for other customers;
7.6.7 follow, as applicable, any pricing guidelines of the Security Forum;
7.6.8 actively work for the purposes of spreading information about the Security Forum in order to get Partner Users and other third parties to join the Security Forum; and
7.6.9 otherwise actively utilize the Services with the ambition to improve the profitability and benefit, increase the Security Forum's attractiveness, protect the climate and strive for a fair income distribution and genuine shared value.
7.7 SeqOps reserves the right to investigate and take appropriate legal action against any Partner or Partner User who engages in conduct that violates these Terms and Conditions. Additionally, SeqOps may, in its sole discretion, suspend or terminate the accounts of Partners or Partner Users who engage in prohibited conduct.
7.8 All Partner Users shall strictly adhere to the Terms and Conditions for Users.
8. Community
8.1 The Partner recognizes that the Security Forum among other things is a community for people and companies who share interest in the services provided by SeqOps and thereto related products and services. On the Security Forum, the Partner may interact with other partners and users. The Partner may also, with certain restrictions, publish articles, forum posts, updates, videos, tips etc. on the Security Forum and the Partner understands that also other partners and users may do so. The Security Forum also provides for the ability to send direct messages to each other, comment on articles or other posts published on the Security Forum and communicate in different ways.
8.2 All messages, articles and comments etc. are published immediately on the Security Forum upon submission and SeqOps is thus not making any assessments of such messages and/or comments prior to them being published.
8.3 The Partner undertakes to ensure that any message, review and/or comment etc. submitted by the Partner is factual and correct. The Partner further undertakes to strive for being objective and fair in any message and/or comment. The Partner shall not include any unlawful, offensive, or discriminatory statements in any message or comment.
8.4 SeqOps accepts no liability for any posts, comments and/or messages published on the Security Forum. However, SeqOps reserves the right to remove any posts/messages/comments that, in SeqOps's reasonable opinion are not factual and correct or otherwise lack objectivity, violate applicable law, may be considered offensive or discriminatory, or that contain reviews or opinions in other aspects than those relevant for the Security Forum. SeqOps also reserves the right to suspend the Partner if, in SeqOps's reasonable opinion, the Partner breaches any undertakings set out herein. Should the Partner find that any post/message/comment lacks in these aspects, the Partner undertakes to inform SeqOps thereof without undue delay.
9. Personal Data and Confidentiality
9.1 The personal data of the Partner is, when SeqOps acts in a capacity of a data controller, processed in accordance with SeqOps's privacy policy for the Service, which is available on the Security Forum. When SeqOps acts in the capacity of a data processor, the personal data is processed in accordance with the separately agreed DPA.
9.2 The Partner is responsible for ensuring that information in its Partner profile, such as name, address and contact information, is up-to-date. The Partner shall promptly report any changes in such information to SeqOps or update its profile on the Website.
9.3 The parties undertake to treat all information received by the other party in strict confidence and shall not disclose any such information to any third party, without obtaining the prior written permission of the providing party. Notwithstanding the aforesaid, the receiving party shall have the right to disclose information to its authorized representatives provided they accept corresponding obligations of confidentiality.
9.4 The receiving party shall not under any circumstances use a lesser degree of care in safeguarding the confidential information than it uses for its own information of like sensitivity and importance.
9.5 The above obligations shall not apply to any confidential information which:
9.5.1 is in the public domain at the time of disclosure or later becomes part of the public domain through no fault of the receiving party; or
9.5.2 is required to be disclosed by operation of law or court order and is not protected by any claim of privilege provided the receiving party attempts to notify the providing party prior to disclosure and any available governmental or judicial protection is obtained.
10. Privacy Policy
SeqOps is committed to protecting your privacy. Our Privacy Policy, incorporated by reference into this Agreement, outlines how we collect, use and disclose your personal Information. By using our services, you consent to the practices described in our Privacy Policy.
11. Intellectual Property
11.1 All intellectual property rights attributable to the Service (including but not limited to the Security Forum and the brand names of SeqOps) are the exclusive property of SeqOps, its affiliates, or licensors. The Partner is not given any right to such intellectual property rights unless explicitly stated in this Agreement.
11.2 This Agreement grants the Partner a non-exclusive and non-transferrable license to use the Security Forum and the content of the Service. The Partner may only use the licence in accordance with the purposes and the usage restrictions specified in this Agreement.
11.3 The Service and the Security Forum may contain links to third party websites or resources. Such links are provided by SeqOps as a service for the Partner and do not imply SeqOps's endorsement of the website in question. SeqOps is not responsible for the content, products, or services available on third party websites or resources or links on such websites. The Partner acknowledges the sole responsibility for, and assumes all risk arising from, the use of any third party websites or resources.
12. Limitation of Liability
12.1 SeqOps shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Security Forum or Services. SeqOps's total liability for any claim shall not exceed the amount paid by the Partner for the Services in the immediate six months preceding such claim.
12.2 The provision of the Services by SeqOps includes enabling the Partner to enter into business relationships with Partner Users. For the avoidance of doubt, SeqOps will only provide the means of such relationships. SeqOps will thus not be part of any such relationship or agreement. Therefore, the Partner agrees and understands that the rights and obligations as between the Partner User and the Partner in such an agreement will apply exclusively between the Partner User and the Partner in question and that SeqOps does not in any way or form undertake any responsibility whatsoever in relation to any party of such agreement other than providing the Services on the website. SeqOps does not assume any responsibility or liability for the actions, product, and content of all of these or any other third parties.
12.3 SeqOps does not warrant that the Services will always be available throughout the term. SeqOps's liability to provide the Services shall be limited to correcting disruptions in the service environment as soon as reasonably possible. SeqOps does not assume responsibility for any damages that the Partner may suffer as a result of the Services not functioning as intended.
13. Term and Termination
13.1 This Agreement shall come into effect upon commencement of your use of the Security Forum by paying the Charges to SeqOps or upon entering into the Master Service Agreement with SeqOps, whichever is earlier, and shall continue to remain in force during the course of your use of the Security Forum or the duration of the Master Service Agreement entered into between SeqOps and the Partner and this Agreement shall stand terminated upon the termination of the Master Service Agreement or until the date of usage of the Service and Security Forum by the Partner, whichever is later.
13.2 The provisions of the Master Service Agreement, if any, which govern termination thereof shall apply vis-a-vis the termination of this Agreement.
14. Website User Obligation
14.1 As a user of SeqOps's Website, you agree to:
14.1.1 Use the Website in compliance with these Terms and Conditions and all applicable laws and regulations.
14.1.2 Refrain from attempting to disrupt or compromise the security and integrity of the Website or any related systems.
14.1.3 Notify SeqOps immediately of any unauthorized access or use of Your account.
16. Third-Party Providers
The Partner acknowledges that provision of Services by SeqOps may involve reliance on certain third-party service providers including embedding of links to third-party products. SeqOps may utilize third-party providers to deliver certain aspects of our Services for which the Partner may be required to access third-party websites and products. The Partner acknowledges and agrees that in such a scenario, SeqOps may be required to share certain information provided by the Partner to SeqOps with such third-party in order to facilitate the provision of Services. In all such circumstances, third-party terms and conditions may apply which shall be binding on the Partner and SeqOps shall not be responsible for any acts or omissions of such third-party providers.
17. Export Control and Sanctions
17.1 The Services, including the Security Forum, software, documentation, technical data and related materials, may be subject to export control and sanctions laws and regulations of the European Union and its Member States, and, where applicable, the United States and other relevant jurisdictions ("Export Control Laws").
17.2 The Partner acknowledges that access to cloud-hosted software, cybersecurity functionality, or technical data may constitute an export or re-export under applicable Export Control Laws.
17.3 The Partner represents and warrants, on a continuing basis during the term of this Agreement, that:
17.3.1 it is not located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive sanctions imposed by the European Union or other applicable authorities;
17.3.2 neither the Partner nor any of its directors, officers, employees, beneficial owners, affiliates, or agents is listed on any applicable sanctions or restricted party list;
17.3.3 it shall not permit access to or use of the Services by any sanctioned or restricted party;
17.3.4 it shall ensure that Partner Users comply with this Section and shall not permit access to the Services by any sanctioned or restricted party through Partner Users or any other persons acting on its behalf;
17.3.5 it shall not use, and shall ensure that Partner Users do not use, the Services for any prohibited end use under applicable Export Control Laws; and
17.3.6 it shall not export, re-export, transfer, sublicense, or otherwise make available the Services in violation of applicable Export Control Laws.
17.4 SeqOps reserves the right to conduct reasonable export control and sanctions screening in connection with onboarding and the ongoing provision of the Services. The Partner agrees to provide such information as SeqOps may reasonably request to ensure compliance with applicable Export Control Laws.
17.5 SeqOps may suspend or terminate access to the Services immediately if SeqOps reasonably determines that continued provision of the Services may violate applicable Export Control Laws or if the Partner breaches this Section. Any such breach shall constitute a material breach of these Terms and Conditions.
18. Personally Identifiable Information
Personally-identifiable information that You transmit or post to our website, software or service for the purpose of receiving products or services will be handled in accordance with our Privacy Policy.
19. Indemnification
The Partner agrees to indemnify and hold SeqOps and its affiliates, officers, employees, and agents harmless from any claims, liabilities, damages, losses, action and expenses, including reasonable legal fees, arising out of or in connection with the Partner's use of SeqOps's Website, or Services.
20. Waiver
The failure of either party to enforce any provision of these Terms and Conditions shall not constitute a waiver of any other provision or any subsequent breach. If any provision of these Terms and Conditions is held to be illegal, invalid, or unenforceable, the provision will be enforced to the maximum extent permissible so as to affect the intent of the parties, and the remaining provisions of these Terms and Conditions will remain in full force and effect.
21. Dispute Resolution
21.1 This Agreement will be interpreted, construed and enforced in accordance with the laws of Sweden, without reference to its rules relating to choice of law. The parties expressly exclude application of the U.N. Convention on Contracts for the International Sale of Goods (1980) to this Agreement.
21.2 Any dispute, controversy or claim arising out of or in connection with this agreement, or the breach, termination or invalidity thereof, shall be finally settled by arbitration in accordance with the Arbitration Rules of the Arbitration Institute of the Stockholm Chamber of Commerce. The seat of arbitration shall be Stockholm, Sweden. The language of the proceedings shall be English.
22. Governing Law
These Terms and Conditions are governed by the laws of Sweden. Any disputes arising under or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts in Sweden.
23. Updates to Our Terms
We may update these Terms and Conditions at our sole discretion to reflect changes in our practices or policies or for legal and regulatory reasons. You are advised to check this page periodically for any updates.
24. Acceptance of these Terms
We assume that all users of SeqOps Website and Services have carefully read these Terms and Conditions and agreed to its contents. If You do not agree with these Terms and Conditions, You should refrain from using our Website and Services immediately. We reserve the right to change our Terms and Conditions at any time with or without notice. Continued use of SeqOps's Website and Services implies acceptance of the revised Terms and Conditions.
