    Important Notice

    By using our website, software and service, you and any company or entity that you are acting for ("User" or "You" or "Your") accept these Terms and Conditions (the "Terms and Conditions"). Your use of our website, software and service confirms that you are lawfully eligible to enter into and agree to these Terms and Conditions, you have understood and agree to comply with these Terms and Conditions and that if you disagree with any of the Terms and Conditions herein, you shall immediately cease to use our website, software and service. The Terms and Conditions contained herein shall act as a binding contract between you and SeqOps AB ("SeqOps" or "we" or "our") including any person legally entitled to act for and on behalf of SeqOps. If you do not wish to bind yourself with the said contract, you are advised to cease further use of our website, software and service.

    1. The Agreement, the Parties and the Service

    1.1 The arrangement between the User and SeqOps regarding the Service is comprised of the terms and conditions specified in the Registration Process, which the User must fulfil to gain access to the Service, along with these Terms and Conditions as well as the provisions of the Master Service Agreement, if applicable, collectively referred to as the "Agreement." Upon checking or ticking the checkbox during the registration process, the User acknowledges having read and accepted these Terms and Conditions, thereby entering into the Agreement with SeqOps. 1.2 These Terms and Conditions shall be applicable not only to the User's use of SeqOps's Services but also to the business relationship between the User and the Partner, where applicable. 1.3 For the purpose of evaluating, improving and further developing the Service, SeqOps may ask the User to participate in voluntary surveys and interviews from time to time. 1.4 In case of any inconsistency or conflicts between the terms of this Agreement and the Master Service Agreement, the provisions of the Master Service Agreement shall prevail.

    2. Introduction

    SeqOps is a company centred on cyber-security, infrastructure security and security development for organisations in the EU and India. SeqOps operates as an advanced vulnerability and threat detection platform, specializing in server, infrastructure, and cloud security. SeqOps is dedicated to delivering IT security services and software solutions to both individual customers and businesses. Our strategic focus lies in fostering continuous technological development, adopting and implementing forward-thinking defence methodologies, and crafting specialized solutions that align with the dynamic nature of the technological sphere. Adherence to pertinent cyber-security frameworks and standards is a cornerstone of our operations, as we recognize the critical role of human elements in the cyber-security domain. Our primary objective is to work in partnership with our partners and clients, striving together to bolster the overall security and integrity of the digital landscape. The SeqOps platform is delivered as a Software-as-a-Service (SaaS) solution. Certain functionalities of the Service may require the installation of a Monitoring Agent on systems controlled by the User. The Monitoring Agent transmits telemetry and infrastructure data to the SeqOps Cloud Platform, through which threat intelligence, vulnerability analysis and platform functionality are delivered.

    3. Definitions

    In these Terms and Conditions, the following capitalised terms shall have the following meanings, except where the context otherwise requires: Agreement means the terms and conditions specified in the registration process, the contents of these Terms and Conditions as described in Clause 1.1 above and the provisions contained in the Master Service Agreement, if applicable; Charges means the price payable by the User either to SeqOps or to the Partner as described in the price list offered by SeqOps or the Partner as the case may be; Code of Conduct means SeqOps's policy regarding use of its platform, services, software and environment that shall be binding on the User; Confidential Information means any non-public information disclosed by one party to the other in connection with the use of the Services, including but not limited to technical information, security reports, vulnerability findings, system configurations, threat intelligence, business information, pricing, software functionality and documentation. Cloud Platform means the cloud-hosted infrastructure operated by or on behalf of SeqOps through which the core functionalities of the SeqOps Service are delivered to Users. Force Majeure Event means an event, or a series of related events, that is outside the reasonable control of the party affected (including failures of the internet or any public telecommunications network, hacker attacks, denial of service attacks, virus or other malicious software attacks or infections, power failures, industrial disputes affecting any third party, changes to the law, disasters, epidemics, pandemics, explosions, fires, floods, riots, terrorist attacks and wars); Information means the details provided and entered by the User at the time of account creation/registration on SeqOps's Website which may include personal information as defined under the General Data Protection Regulation of the European Parliament and of the Council as per Regulation (EU) 2016/679 dated 27 April 2016 and under the Digital Personal Data Protection, 2023 (Act No. 22 of 2023) passed by the Parliament of India; Master Service Agreement means the Agreement which may have been entered into between You and SeqOps for the provision of services by SeqOps; Monitoring Agent means the software component installed by the User on its systems or infrastructure for the purpose of collecting telemetry and transmitting such information securely to the SeqOps Cloud Platform. Partner means the legal entity who has entered into a Master Service Agreement with SeqOps and is authorised to on-board users on to SeqOps's environment in exchange for payment of fees to SeqOps as described in the Master Service Agreement. If You have been on-boarded on to SeqOps by an entity other than SeqOps, such entity shall be deemed to be a Partner; Registration Process means the act of creating a user account on the website of SeqOps either directly or through an invitation sent to the User by email; Services means the services procured by You from SeqOps or the Partner, as the case may be, from your use of SeqOps's Website; Website means this website which is owned, managed and administered by SeqOps through which the Services are provided to You by SeqOps and its Partners.

    4. Basic User Requirements

    4.1 In order to avail the Services, the User must meet the following requirements: 4.1.1 The User must have a computer device with stable internet connectivity; 4.1.2 The User must register on SeqOps's Website by following the instructions provided on the account creation/registration page; 4.1.3 The User must pay the requisite Charges as detailed herebelow either to SeqOps or to the Partner, as applicable; and 4.1.4 The User must accept these Terms and Conditions and any additional documentation described during the process of account creation/registration. 4.2 The User must not reveal their login credentials including passwords to any unauthorised person and shall maintain the same in a manner which does not make it accessible to any unauthorised persons. If User suspects that any unauthorised person may have gained access to the login credentials, such User shall notify SeqOps as well as the Partner, where applicable, immediately. Any activity carried on or purchases made by such unauthorised person shall bind the User unless information relating to unauthorised access to the login credentials has been notified to SeqOps and the Partner. 4.3 You are responsible for maintaining the confidentiality of your account Information and for all activities that occur under your account. SeqOps reserves the right to suspend or terminate your account if any unauthorised use is detected or if the use of the same is in contravention of these Terms and Conditions. 4.4 In order to use the Service, You may be required to download a software or agent provided by SeqOps and install the same on your personal computer device. You do hereby consent to downloading and installing the same. You further agree that the information provided by you while installing and using the software or agent may be accessed, used and stored by SeqOps and the Partner subject to the condition that such access, use and storage shall be in accordance with our Privacy Policy.

    5. Charges, Fees and Payment Terms

    5.1 SeqOps and the Partner reserve the right to require payment of Charges for certain services. If You choose to sign up for any of the Services that carries Charges, You hereby represent and warrant that you are eighteen (18) years of age or older. SeqOps and the Partner reserve the right to change its pricing and fees and to institute new Charges at any time, which shall be updated on the Website. Your use of the Services following such notification constitutes Your acceptance of any new or increased Charges and liability to pay the same. 5.2 The User shall be liable to pay Charges to SeqOps or the Partner, as the case may be, in accordance with the price list offered by SeqOps or the Partner to the User or any other price agreed upon between the User and SeqOps or the Partner. SeqOps reserves the right to modify or alter the Charges from time to time with or without notice. 5.3 SeqOps shall not be responsible for any change of Charges made by the Partner and any such change shall be deemed to be made by the Partner in its sole discretion. 5.4 The User shall pay the Charges to SeqOps or the Partner, as applicable, in advance through the modes of payment made available by SeqOps or the Partner. 5.5 Any payments made by the User to the Partner shall be deemed to have been made to the Partner separately outside this website and SeqOps shall not in any manner be party to any such payment or be deemed to have received any portion of such payment. 5.6 The Users who are required to make payment of Charges to Partners do hereby acknowledge and understand that their use of the Services is subject to payment of fees by the Partners to SeqOps. Should the Partner fail to make timely payments of fees to SeqOps in accordance with its obligations under the relevant Master Service Agreement, SeqOps reserves the right to suspend the use of its Services by such Partner and all users who may have been on-boarded by such Partner. 5.7 Where payments of Charges are made by the User to the Partner, any dispute arising from such payment or any claims for refunds or payment failures shall be brought directly to the notice of the Partner by the User. The Partner alone shall be responsible for any such disputes, refunds or payment failure and the User shall not be entitled to make any claims against SeqOps in relation to any such payment of Charges to the User. 5.8 Where the User makes any payment of Charges to SeqOps, the same shall be done through SeqOps's Website only by using any of the modes of payment provided on the payment page by SeqOps. SeqOps shall not be responsible for any payments that may be made by the User to any party which does not involve use of SeqOps's Website.

    6. User's Obligations

    6.1 You hereby agree that while using the Website and Services, you may avail Services either from SeqOps or from its Partner, as the case may be. Where Services are availed from a Partner, the User acknowledges that the Information provided by the User at the time of account creation/registration and any further use of the Website and Services may be made accessible to the Partner which is a prerequisite for provision of Services by such Partner. 6.2 The User further agrees that provision of Services by certain Partners may require the involvement of another Partner or SeqOps itself. Under such circumstances, the User does agree to grant reasonable access to such other Partner or to SeqOps to his/her/their Information, without which the User understands and acknowledges that the provision of Services by such Partner may not be possible. 6.3 Where Users are required to provide Services to other users for which they may be required to access Information relating to such other users, such Users shall only access the Information relevant for the provision of the Services and any such access shall be in conformity with these Terms and Conditions, the Code of Conduct and any applicable laws and regulations. 6.4 Any User acting as a Partner must, within a reasonable time, respond to any inquiries, expressions of interest, orders etc. from other Users. The foregoing does, however, not imply on the Partner any obligations to enter into any agreements albeit that the Partner shall make inquiries, orders etc. from other Users a top priority and further shall strive to accept orders subject to available capacity. 6.5 While using our Website and Services, You agree not to engage in any conduct that may violate these Terms and Conditions or the applicable laws and regulations. This includes but is not limited to: 6.5.1 Using SeqOps' Website or Services for any illegal or unauthorized purpose or in violation of any regulations that may bind SeqOps or the Partner. 6.5.2 Attempting to interfere with the proper functioning of our Website or Services. 6.5.3 Transmitting any viruses, worms, or harmful code. 6.5.4 Engaging in any activity that may compromise the security or integrity of the Website or Services, including attempting to gain unauthorized access to any systems or networks associated with SeqOps or the Partner. 6.5.5 Using automated systems, including but not limited to bots, spiders, or scrapers to access the Website or Services without our express written permission. 6.5.6 Transmitting any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libellous, invasive of another's privacy or otherwise objectionable. 6.5.7 Impersonating any person or entity, or falsely state or otherwise misrepresent Your affiliation with a person or entity. 6.5.8 Violating any applicable laws or regulations, including but not limited to export control laws and regulations. 6.5.9 Using Website or Services for any purpose that is unlawful or prohibited by these Terms and Conditions. 6.5.10 Engaging in any conduct that may disrupt or interfere with the normal operation of the Website or Services. 6.5.11 You further represent and warrant that You have full legal authority and authorization to deploy the Monitoring Agent and use the SeqOps Services on all systems, infrastructure, networks and cloud environments in which the Services are used. You shall not use the Services to monitor, scan or analyse any systems, infrastructure or networks for which You do not have lawful ownership or explicit authorization. 6.6 SeqOps and the Partner reserve the right to investigate and take appropriate legal action against any individual who engages in conduct that violates these Terms and Conditions. Additionally, SeqOps or the Partner may, in its sole discretion, suspend or terminate the accounts of users who engage in prohibited conduct. 6.7 SeqOps provides monitoring, analysis and security intelligence relating to vulnerabilities, misconfigurations and potential threats affecting the User's infrastructure. SeqOps does not undertake remediation activities including patching, configuration changes, system hardening or vulnerability mitigation unless expressly agreed in writing under a separate services agreement. The User remains solely responsible for implementing any remediation actions, security controls, system updates or other corrective measures within its infrastructure. 6.8 All Users whose roles fall under the definition of Partner, shall strictly adhere to the Terms and Conditions for Partners.

    7. Privacy Policy

    SeqOps is committed to protecting your privacy. Our Privacy Policy, incorporated by reference into these Terms, outlines how we collect, use and disclose your personal Information. By using our services, you consent to the practices described in our Privacy Policy.

    8. Intellectual Property

    All content, software and materials provided by SeqOps are the sole property of SeqOps or its licensors or affiliates and are protected by intellectual property laws. You agree not to reproduce, distribute, modify or create derivative works based on our intellectual property without our express written consent. Any such reproduction, distribution, modification or creation by you may invite strict legal action under applicable laws including but not limited to injunctions, cease and desist orders and recovery of damages.

    9. Limitation of Liability

    SeqOps shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of our Website or Services. SeqOps's total liability for any claim shall not exceed the amount paid by You for the Services. The provision of the Services by SeqOps includes enabling the User to enter into business relationships and agreements of various kinds with Partners. For the avoidance of doubt, SeqOps will only provide the means of such relationships and agreements. SeqOps will thus not be part of any such agreement. Therefore, the User agrees and understands that the rights and obligations as between the User and the Partner in such an agreement will apply exclusively between the User and the Partner in question and that SeqOps does not in any way or form undertake any responsibility whatsoever in relation to any party of such agreement other than providing the Services on the website. SeqOps does not assume any responsibility or liability for the actions, product, and content of all of these or any other third parties. SeqOps does not warrant that the Services will always be available throughout the term. SeqOps's liability to provide the Services shall be limited to correcting disruptions in the service environment as soon as reasonably possible. SeqOps does not assume responsibility for any damages that the User may suffer as a result of the Services not functioning as intended.

    10. Service Availability and Maintenance

    SeqOps may from time to time perform scheduled maintenance, updates or upgrades to the Services. SeqOps will use commercially reasonable efforts to provide advance notice of scheduled maintenance where practicable. The User acknowledges that temporary interruptions to the Services may occur due to maintenance, infrastructure updates, network failures or events outside the reasonable control of SeqOps. SeqOps shall not be liable for any loss or damage resulting from such temporary interruptions.

    11. License and Restriction

    Upon acceptance of these Terms and Conditions, if You have validly obtained any Service from SeqOps or the Partner, the same shall constitute a limited, non-exclusive, non-transferable license to use our software and services in accordance with these Terms and Conditions unless otherwise contractually agreed upon by you and SeqOps or the Partner. You agree not to sublicense, modify, reverse engineer or attempt to access the source code of our Service.

    12. Website User Obligation

    As a user of SeqOps's Website, you agree to: a) Use the Website in compliance with these Terms and Conditions and all applicable laws and regulations. b) Refrain from attempting to disrupt or compromise the security and integrity of the Website or any related systems. c) Notify SeqOps immediately of any unauthorized access or use of Your account.

    13. Cookies

    SeqOps may use cookies and similar technologies to enhance your experience when using our website. Cookies are small text files placed on your device to collect information about your activities on our site. By using SeqOps' website, you consent to the use of cookies in accordance with our Cookie Policy, which is incorporated by reference into these Terms and Conditions. Our Cookie Policy outlines the types of cookies we use, the purposes for which we use them, and your choices regarding the management of cookies. You have the option to disable cookies through your browser settings; however, please note that certain features of SeqOps' website may not function properly if cookies are disabled.

    14. Third-Party Providers

    The User acknowledges that provision of Services by SeqOps may involve reliance on certain third-party service providers including embedding of links to third-party products. SeqOps may utilize third-party providers to deliver certain aspects of our Services for which the User may be required to access third-party websites and products. You acknowledge and agree that in such a scenario, SeqOps may be required to share certain information provided by the User to SeqOps with such third-party in order to facilitate the provision of Services. The User further understands that SeqOps's Partners may also require Users to access third-party websites and products, for which SeqOps shall not be responsible. In all such circumstances, third-party terms and conditions may apply which shall be binding on You and SeqOps shall not be responsible for any acts or omissions of such third-party providers.

    15. Export Control and Sanctions

    15.1 The Services may be subject to export control and sanctions laws of the European Union and its Member States, and, where applicable, the United States and other relevant jurisdictions ("Export Control Laws"). 15.2 The User acknowledges that access to cloud-hosted software or technical functionality may constitute an export or re-export under applicable Export Control Laws. 15.3 The User represents and warrants that: 15.3.1 it is not located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive sanctions; 15.3.2 it is not listed on any applicable sanctions or restricted party list; 15.3.3 it will not permit access to the Services by any sanctioned or restricted party; 15.3.4 it will not use the Services for any prohibited end use under applicable Export Control Laws; 15.3.5 it will not re-export or transfer the Services in violation of applicable law. 15.4 SeqOps may conduct reasonable export control and sanctions screening and may suspend or terminate access immediately if SeqOps reasonably determines that continued provision of the Services may violate applicable law. 15.5 Any breach of this Section shall constitute a material breach of these Terms and Conditions. 15.6 Suspension or termination under this Section shall not entitle the User to any refund or compensation.

    16. Personally Identifiable Information

    Personally-identifiable information that you transmit or post to our website, software or service for the purpose of receiving products or services will be handled in accordance with our Privacy Policy.

    17. Use of Data by SeqOps

    By using our services, you grant SeqOps the right to collect, process, and store data as outlined in our Privacy Policy. SeqOps may use aggregated and anonymized data for analytical and improvement purposes. SeqOps may retain operational and technical data generated through the use of the Services, including security logs, vulnerability data, infrastructure telemetry and monitoring information, for the purpose of providing the Services, improving threat detection capabilities, maintaining system security and complying with legal obligations. Such data may be retained for a reasonable period as determined by SeqOps's operational and security requirements.

    18. No Warranty

    SeqOps provides its software and services "as is" and makes no representations or warranties of any kind, whether expressed or implied. SeqOps disclaims all warranties, including but not limited to, fitness for a particular purpose, merchantability, or non-infringement. The User acknowledges that cybersecurity threats continuously evolve and that no monitoring or security platform can guarantee the prevention of all security incidents, breaches or unauthorized access. SeqOps does not warrant that use of the Services will prevent security incidents within the User's infrastructure.

    19. No Guarantee

    You acknowledge, confirm, understand and agree that SeqOps does not guarantee or warrant that it will find, locate, discover, prevent or warn of, all of software user's or its affiliates' system threats, vulnerabilities, malware, and malicious software and you and your affiliates will not hold SeqOps responsible for the same. Any vulnerability reports, alerts, threat intelligence insights or security recommendations generated by the Services are provided for informational purposes only. Such findings represent automated or analytical assessments based on available data and may not identify all possible vulnerabilities, threats or security risks.

    20. Regulatory Compliance Disclaimer

    The Services may provide insights, analysis or recommendations referencing cybersecurity frameworks, industry standards or regulatory best practices. Such information is provided solely for informational and analytical purposes and shall not be construed as certification of compliance with any regulatory framework, law, standard or security requirement. SeqOps does not provide legal, regulatory or compliance certification services.

    21. Confidentiality

    Each party agrees to keep the other party's Confidential Information strictly confidential, use such Confidential Information solely for the purposes of performing or receiving the Services, not disclose such Confidential Information to any third party except to its employees, affiliates, contractors or professional advisers who have a legitimate need to know and who are bound by confidentiality obligations. The above obligations shall not apply to information which a) is or becomes publicly available without breach of these Terms; b) was lawfully known to the receiving party prior to disclosure; c) is independently developed without use of the Confidential Information; or d) is required to be disclosed by law or a competent authority. The confidentiality obligations under this clause shall survive termination of these Terms for a period of two (2) years, except for trade secrets which shall remain protected for as long as they remain confidential.

    22. Indemnification

    You agree to indemnify and hold SeqOps and its Partners, affiliates, officers, employees, and agents harmless from any claims, liabilities, damages, losses, action and expenses, including reasonable legal fees, arising out of or in connection with Your use of SeqOps's Website, or Services.

    23. Force Majeure

    SeqOps shall not be liable for any failure or delay in performing its obligations under these Terms and Conditions or for any loss or damage caused to the User or Partner if such failure or delay is due to a Force Majeure Event.

    24. Waiver

    The failure of either party to enforce any provision of these Terms and Conditions shall not constitute a waiver of any other provision or any subsequent breach. If any provision of these Terms and Conditions is held to be illegal, invalid, or unenforceable, the provision will be enforced to the maximum extent permissible so as to affect the intent of the parties, and the remaining provisions of these Terms and Conditions will remain in full force and effect.

    25. Assignment / Transfer of Agreements

    SeqOps may assign, transfer, novate or otherwise transfer its rights and obligations under these Terms and Conditions, in whole or in part, to an affiliate, successor entity or in connection with a merger, acquisition, corporate restructuring or sale of assets, without requiring the prior consent of the User, provided that such successor entity agrees to be bound by these Terms and Conditions. The User may not assign or transfer its rights or obligations under these Terms and Conditions without the prior written consent of SeqOps.

    26. Termination

    These Terms and Conditions are valid until further notice. SeqOps reserves the right to terminate or suspend Your access to our Website or Services at any time, with or without cause. In circumstances where a Partner may have on-boarded You on to SeqOps's Services, such Partner may suspend or terminate Your use of the Services for any reason in accordance with the agreement entered into between You and such Partner. SeqOps shall not be responsible for any such termination of Services by Partners.

    27. Governing Law

    These Terms and Conditions are governed by the laws of Sweden. Any disputes arising under or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts in Sweden.

    28. Updates to Our Terms

    We may update these Terms and Conditions at our sole discretion to reflect changes in our practices or policies or for legal and regulatory reasons. You are advised to check this page periodically for any updates.

    29. Service Modifications

    SeqOps reserves the right to modify, enhance, update or discontinue certain features or functionalities of the Services from time to time in order to improve performance, security or usability. SeqOps shall use commercially reasonable efforts to ensure that such modifications do not materially degrade the overall functionality of the Services.

    30. Acceptance of these Terms

    We assume that all Users of SeqOps Website and Services have carefully read these Terms and Conditions and agreed to its contents. If You do not agree with these Terms and Conditions, You should refrain from using our Website and Services immediately. We reserve the right to change our Terms and Conditions at any time with or without notice. Continued use of SeqOps's Website and Services implies acceptance of the revised Terms and Conditions.
